Sales and Purchases – typical transactions include transfers in specie, transfer between two schemes or between sponsoring employers, individual trustees and unconnected third parties. Sales and purchases of the whole or part only of commercial property or land may be with vacant possession or subject to tenancy arrangements.
Lease Arrangements – leases will ordinarily be agreed by trustees or their appointed agents and the tenants. These tenants may be existing tenant looking to renew leases or require new arrangement. These tenants may be an existing tenant looking to renew their lease or require new arrangements to be documented.
Borrowing, Lending and Security – particular schemes will be authorised to loan monies and such lending requires security, typically by way of a fixed first charge registered against a property of the borrower or third party, or a debenture of all assets or specific assets to be registered at Companies House. Schemes may also require a loan to purchase or to restructure current lending arrangements by refinancing, whereby the banks may require dual or borrower only representation to perfect and register security against property.
Constitutional Documentation – scheme providers and administrators may from time to time require advice or drafting of trust deeds and dealing with appointments and retirements of trustees. We are also able to offer advice to trustees on their responsibilities and liabilities of their positions.
